Export Control Regulations Statement

Artery Technology Co., Ltd. and its affiliates (collectively, “Artery”), a professional chip design company guided by an innovation-driven and customer-centric corporate culture, are fully committed to complying with all applicable export control laws and regulations in the jurisdictions where we operate. We consistently implement an export control compliance management system and strictly abide by laws and regulations in all business operations, in alignment with the expectations and best interests of stakeholders, including investors, employees, customers and partners. Adherence to export control regulations enables Artery to maintain positive interactions with the government, uphold an image of corporate compliance and integrity, and foster trust with partners and customers.

Artery is committed to complying with the export control laws and regulations of the relevant authorities in the jurisdictions where we operate.We have established and enforce corresponding policies and procedures to ensure export control compliance throughout our business operations, including but not limited to the measures set forth below:

1. Artery has established a dedicated Export Compliance Department to track laws and regulations of relevant countries and regions, implement and monitor the export control compliance management throughout the entire product lifecycle including R&D, production, sales and after-sales services.The Export Compliance Department is authorized to audit business activities and has the authority to veto transactions with obvious omissions or potential risks.
2. Artery has completed export control classification of its products and services and due diligence on all counterparties in business transactions. We remain vigilant and prudent in our business operations to prevent the diversion of our products and services to prohibited or non-compliant destinations, end-users and end-uses. Artery strictly prohibits any use of its products and services for military or unlawful purposes, and requires agents to firmly abide by these principles.
3. Artery continuously requires all staff to adhere to export control laws and regulations, and provides export control training to all employees, as well as job-specific export control courses.We maintain an open and transparent approach to export control compliance. All Artery employees can submit comments and raise their concerns via hotlines, email and other channels. Artery is committed to maintaining strict confidentiality for every submission received.
4. Artery regularly reviews and audits the implementation of its export control compliance commitments, and takes appropriate disciplinary action against any employee who violates the company’s export control policies and procedures, in accordance with company regulations.Artery continuously enhances the export control program based on audit and inspection results, thereby ensuring that it consistently fulfills all its export control compliance commitments.
